1. Acceptance of Terms
By accessing or using our website, services, materials, or requesting a consultation, you agree to comply with and be legally bound by these Terms and Conditions. If you do not agree, please do not use our site or services.
2. Services Offered
Pearl Lemon Consulting provides business consulting services including, but not limited to:
- Operational efficiency improvement
- Financial diagnostics and risk planning
- Digital integration and toolstack audits
- Talent and leadership development
- Organizational behavior and ethics consulting
- AI systems implementation
- Web development and CRM integration
Service details and deliverables will be outlined in your custom proposal or consulting agreement. Engagements are scoped individually based on your business needs and internal readiness.
3. No Guarantee of Specific Results
While our consulting processes are designed to improve performance, Pearl Lemon Consulting makes no guarantees regarding specific outcomes such as revenue increases, cost reductions, or compliance outcomes. Deliverables are based on best practices, diagnostic findings, and client implementation capacity.
4. Client Responsibilities
Clients are expected to provide accurate, timely information, grant reasonable access to internal systems, and maintain open communication throughout the engagement. Failure to do so may impact deliverables and performance metrics.
5. Payment Terms
All fees are quoted in CAD unless otherwise stated. Payment schedules will be outlined in your service agreement. Late payments may result in paused services or termination of the engagement. Certain engagements may require an upfront deposit or milestone-based invoicing.
6. Intellectual Property
All consulting materials, reports, training documents, process templates, and systems designed by Pearl Lemon Consulting remain our intellectual property unless expressly transferred in writing. Clients receive a license to use and modify deliverables internally. Redistribution or resale is prohibited without prior consent.
7. Confidentiality
We uphold strict confidentiality regarding all proprietary information shared during the engagement. Similarly, clients agree to maintain confidentiality regarding Pearl Lemon Consulting’s methods, templates, and internal practices.
8. Limitation of Liability
Pearl Lemon Consulting is not liable for indirect, incidental, or consequential damages arising from consulting implementation or interpretation. Liability for direct damages is limited to the fees paid by the client in the six (6) months preceding the claim.
9. Termination
Either party may terminate a consulting engagement with written notice, subject to the terms defined in the signed agreement. Refunds for unused services are at our discretion and based on completed deliverables.
10. Third-Party Tools and Integrations
Pearl Lemon Consulting may recommend or help configure third-party tools (e.g., Airtable, Notion, Zapier, Webflow). We are not responsible for their functionality, security, or pricing changes. Clients are advised to review each tool’s terms independently.
11. Governing Law
These Terms shall be governed by and construed under the laws of the Province of Ontario, Canada. Any disputes will be handled in the courts of Ontario, unless otherwise mutually agreed.
12. Revisions to Terms
We reserve the right to update these Terms and Conditions at any time. Clients and website users are responsible for reviewing the current version. Continued use of our services constitutes acceptance of any changes.
